2. Services Description

SitWiz provides software development services including mobile application development, web development, cloud services integration, and AI automation solutions. The specific scope, timeline, and deliverables for each project will be defined in a separate agreement or statement of work.

3. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in the deliverables created by SitWiz shall transfer to the client upon full payment. SitWiz retains the right to use general knowledge, skills, and experience gained during the project, and to showcase completed work in our portfolio unless confidentiality is explicitly required.

4. Payment Terms

• Payment terms will be specified in the project agreement
• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges
• Work may be suspended if payment terms are not met

5. Project Changes

Any changes to the agreed scope of work must be documented and may result in adjusted timelines and costs. We follow an agile development process and welcome feedback, but significant scope changes will be handled through a formal change request process.

6. Confidentiality

We respect the confidentiality of your business information and will sign non-disclosure agreements when requested. We expect the same level of confidentiality regarding our business practices, methodologies, and any proprietary information shared during the engagement.

7. Warranties and Disclaimers

We warrant that services will be performed with professional skill and care. However, software development is complex, and we cannot guarantee that all deliverables will be error-free. We will work diligently to fix any bugs or issues discovered within the agreed warranty period.

8. Limitation of Liability

In no event shall SitWiz be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

9. Termination

Either party may terminate the agreement with written notice. Upon termination, the client shall pay for all work completed up to the termination date. All deliverables completed and paid for shall be transferred to the client.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SitWiz operates, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.
